With the purpose of fulfilling these goals, and within the purposes contained herein, the corporation will be authorized to perform, according to the law and the provisions of this Certificate of Incorporation, all acts, transactions, agreements, and/or businesses for which corporation can be organized under the Corporation Law, including without limitation, to the promotion, development, and strengthening of the social welfare and education of the community. No part of the net earnings of the organization shall inure to the benefit of, or be distributable to its members, trustees, or other private persons, except that the organization shall be authorized and empowered to pay reasonable compensation for services rendered. Notwithstanding any other provision of this document, the organization shall not carry on any other activities not permitted to be carried on (a) by an organization exempt from federal income tax under Section 501(c)(3) of the US Code, or corresponding section of any future federal tax code, or the corresponding section of the PR Code, or (b) by an organization, contributions to which are deductible under Section 170(c)(2) of the US Code, or corresponding section of any future federal tax code, or the corresponding section of the PR Code. Upon the dissolution of the organization, assets shall be distributed for one or more exempt purposes within the meaning of Section 501(c)(3) of the US Code, or corresponding section of any future federal tax code, Section 1101.01 of the PR Code and Article 1101.01-1(d)(3)(v)(A) of the 2011 Puerto Rico Internal Revenue Code Regulations, or shall be distributed to the Federal government, or to a State or local government, for a public purpose. Any such assets not disposed or shall be disposed of by a court of competent jurisdiction in the county in which the principal office of the organization is then located, exclusively for such purposes or to such organization or organizations, as said court shall determine, which are organized and operated exclusively for such purposes. |
